CREODEX USER-GENERATED CONTENT & INTELLECTUAL PROPERTY POLICY

At Creodex (“we,” “our,” or “us”), this policy governs the creation, upload, and distribution of all user-generated content on the Creodex platform. This includes—but is not limited to—the development of AI Tools (also referred to as “WaaS AI Tools”) and all associated assets, prompts, outputs, and metadata.
By creating or distributing content through Creodex, you agree to comply with this policy, Terms and Conditions, and all Related Policies & Resources. If you do not agree with the terms outlined herein, you must discontinue use of the platform for content creation and distribution.
1. User-Generated Content and Intellectual Property
1.1 Ownership of User-Generated Content
You retain full ownership of any intellectual property (IP) related to the content and AI personas you create on Creodex.
By uploading content or creating AI personas, you grant Creodex a limited, revocable, non-exclusive, royalty-free, worldwide license to:
- Host, display, and distribute your content within the platform.
- Use your content for promotional and operational purposes, limited to Creodex’s platform and ecosystem.
Creodex does not claim ownership over your content. You may remove or delete your content at any time unless Creodex is required to retain it by law or legal order.
1.2 Responsibility for Content and IP Rights
By uploading or creating content on Creodex, you confirm that:
- You have the legal right to use, distribute, and modify the content.
- The content is original or properly licensed
- The content is original or properly licensed, with permission obtained where required.
- You hold all necessary rights to images, logos, videos, and other media included in your content or AI personas.
- You are not violating any third-party IP rights, including:
- Trademarks
- Copyrighted materials
- Patented technology or proprietary data
1.2.1 Image and Content Use Clause
Any images, media, or content used to represent your AI Tool persona (including marketing materials, logos, and avatars) must be either:
- Created or owned by you
- Or properly licensed with the appropriate rights and permissions.
Creodex is not liable for any unauthorized use of third-party content or media. If a third party makes a claim related to your content, you are solely responsible for resolving the matter, including covering legal costs and damages.
1.3 Prohibited Content
You may not upload, create, or distribute content that:
- Infringes on the intellectual property or privacy rights of others.
- Contains trade secrets or confidential business data that you do not have permission to disclose.
- Promotes illegal activities
- Promotes illegal activity or facilitates criminal behavior (e.g., hacking, fraud).
- Encourages violence, discrimination, or hate speech against any individual or group.
- Misleads or spreads false information, including AI-generated misinformation.
Examples of Prohibited Use:
- Uploading images from search engines without obtaining proper licensing.
- Creating a AI Tool that replicates proprietary business strategies from your employer without permission.
- Building a AI Tools designed to generate deceptive or misleading financial advice.
1.4 Enforcement and DMCA Compliance
Creodex will enforce these Terms through the following actions:
- First-time violations: Immediate content removal and a formal warning.
- Repeat offenses: Account suspension or permanent ban from the platform.
- Severe violations: Immediate account termination and potential legal action.

2. Limitation of Liability
2.1 AI-Generated Outputs and Content Liability
Creodex provides a platform for professionals to create AI-driven tools for content creation and business support. However, Creodex is not responsible for:
- The accuracy, legality, or reliability of AI-generated responses.
- Any financial or reputational damage caused by reliance on AI-generated outputs.
- Loss of data, platform downtime, or technical errors affecting the user experience.
- Unauthorized access, hacking, or security breaches affecting user data or content.
Examples
- Creodex is not liable if an AI-generated financial strategy leads to unexpected business losses.
- Creodex is not liable if user-generated content misleads customers and causes reputational harm.
2.3 Third-Party AI Processing Disclaimer
Creodex uses third-party AI providers, such as OpenAI, to process and amplify user-generated content and interactions. While Creodex does not use this content for AI training or model improvement, we cannot fully control how third-party providers process, store, or handle submitted content during AI generation workflows.
By using Creodex, you acknowledge and agree that:
- Creodex is not responsible for how third-party AI vendors handle data during AI processing, including content amplification or prompt/response generation.
- Creodex cannot guarantee or control how AI systems interpret, process, or transform your user-generated content.
- You agree to hold Creodex harmless from any claims, damages, or liabilities arising from how third-party AI providers process or handle your content.
3. Indemnification
You agree to defend, indemnify, and hold harmless Creodex, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:
- Unauthorized use of third-party IP in your content.
- Privacy violations or failure to comply with data protection laws (e.g., GDPR, CCPA, PIPEDA).
- Harm caused by AI-generated outputs or AI Tool recommendations.
Example:
If a third party files a lawsuit claiming your AI Tool persona copied proprietary business methods, you are responsible for covering legal costs and damages.
4. Dispute Resolution
All disputes arising from these Terms will be resolved through binding arbitration in Alberta, Canada.
Users waive the right to file class-action lawsuits.
These Terms are governed by the laws of Alberta, Canada, unless international laws (e.g., GDPR) require otherwise.
5. Amendments and Updates
Creodex reserves the right to modify these Terms at any time. Users will be notified of major updates, and continued use of the platform constitutes acceptance of the revised Terms.
