CREODEX TERMS & CONDITIONS

Welcome to Creodex. By accessing or using our platform, you agree to these Terms and Conditions, along with all supporting policies listed in our Related Policies & Resources. If you do not agree with any part of these terms, you must discontinue use of our services.

1. Scope of Terms

Creodex is an AI-powered platform that enables individuals (“Creovaters”) to create and monetize custom AI Tools (sometimes referred to as “WaaS AI Tools”) based on their expertise, insights, and domain knowledge—referred to as “wisdom.”

These AI Tools serve other users (“Dexers”) through task execution or on-demand services. Creodex facilitates these exchanges by offering infrastructure, compliance management, and AI integration, while applying a service commission per interaction. This model is referred to as Wisdom-as-a-Service (WaaS).

Creovaters retain full intellectual property rights to their content. However, by using the platform, they grant Creodex a limited, revocable license to host, distribute, and promote their content for platform purposes.

2. Ownership of Intellectual Property & AI Processing Notice

You retain full ownership of all intellectual property (IP) associated with your AI Tools, content, and any related assets you upload to the platform.

By uploading or publishing content on Creodex, you grant Creodex a limited, non-exclusive, royalty-free, revocable, worldwide license to:

  • Host, distribute, and display your content on the platform
  • Use your content for promotional or operational purposes within the Creodex ecosystem

This license does not transfer ownership. You may remove your content at any time unless its retention is required by law or legal order.

Important:

Creodex uses third-party AI providers (such as OpenAI) to process and amplify content. While Creodex does not use your content for AI training, we cannot control how third-party AI systems process or handle submitted content during interactions.

3. Creovater LinkedIn Verification Requirement

To maintain platform trust, transparency, and professional accountability, Creovaters are required to link a verified LinkedIn profile or LinkedIn company page to be eligible to access the Creodex Platform.

This requirement ensures that real professionals are providing wisdom-driven services and insights on Creodex.

Verification Requirements:

Your Creodex public profile must include a public LinkedIn URL, representing either:

  • Your personal LinkedIn profile, or
  • A LinkedIn company page you control

The LinkedIn link must be clearly displayed in your Creodex profile. Your LinkedIn profile or company page must accurately reflect your professional identity, credentials, or business.

Purpose of Verification:

This requirement ensures that Creovaters are offering real, verifiable expertise—not anonymous services, unproven personas, or low-value AI Tools created solely for monetization.

Creodex is built to amplify authentic wisdom, not to enable generic or misleading AI experiences.

By linking your LinkedIn profile or company page, you demonstrate that your AI Tools are backed by genuine expertise, lived experience, and a commitment to providing meaningful value to Dexers. Anonymous Creovater accounts are not permitted.

Failure to maintain an active, linked LinkedIn profile or company page may result in:

  • Suspended payouts
  • Account review, restriction, or removal from the platform

4. Content Standards & IP Compliance

All content must be original or lawfully licensed. Users are solely responsible for:

  • Verifying copyright ownership
  • Obtaining consent for identifiable individuals or likenesses
  • Ensuring no third-party rights are violated

Creodex does not independently verify IP compliance and disclaims responsibility for user-submitted content.

5. AI Usage Guidelines

AI tools on Creodex are meant to amplify human wisdom, not replace it. AI Tools must not:

  • Mislead users or provide false information
  • Facilitate or encourage illegal or harmful actions
  • Imitate licensed professionals without proper credentials

Important Disclaimer:

AI-generated outputs are provided for informational and exploratory purposes only. Creodex makes no guarantees regarding the accuracy, legality, or suitability of AI-generated content.

AI-generated outputs may contain errors, omissions, biases, or unintended outputs (“hallucinations”).
Users must not rely on AI outputs as legal, medical, financial, or professional advice.

6. Payments, Wallets, and Processing Fees

All payments on Creodex are processed through Stripe. By using the platform, you agree to:

  • A non-refundable Creodex Processing Fee of 5% + $0.30 on all wallet top-ups and subscriptions
  • All wallet deductions and Stripe fees outlined in the Wallet & Payment Policy
  • Stripe automatically calculates and applies regional taxes at checkout once Creodex has met jurisdictional thresholds for tax registration.
  • All prices, credits, and fees are listed and charged in U.S. Dollars (USD), regardless of your local currency. Currency conversion may be handled by your bank or payment provider and may incur additional fees.

Creodex does not store or have access to your card data.

6.1 Tax Thresholds & Jurisdiction-Based Price Adjustments

Creodex uses Stripe Tax to manage and automate tax compliance in accordance with local laws. This includes jurisdictions such as:

  • Canada (GST/HST)
  • United States (state-level sales tax)
  • United Kingdom and Ireland (VAT)
  • European Union (VAT)
  • Other international tax regions

As of Beta Launch, Creodex has not yet met the revenue thresholds required to collect or remit taxes in most jurisdictions. As a result:

  • Dexers are not currently charged tax at checkout
  • Creovaters do not yet pay tax on subscriptions via Stripe

When revenue thresholds are reached and Creodex completes tax registration:

  • Dexers will see automatically applied tax at checkout based on their billing address and local tax rules.
  • Creovaters may be charged sales tax or VAT on subscription plans, depending on their location.

Income Tax Responsibility (Creovaters Only):

All Creovaters are responsible for declaring and remitting taxes on their platform earnings in accordance with the tax laws of their country of residence.

Price Adjustments May Occur:

Once taxes begin applying automatically via Stripe, total prices (for Dexers) and subscription costs (for Creovaters) may increase accordingly. These changes are not applied manually by Creodex and are fully automated by Stripe based on your billing location.

7. Refunds & Disputes

Refunds are available only for unused wallet credits under the following conditions:

  • Must be requested within 30 days of purchase
  • Subject to deduction of:
  • Creodex Processing Fee: 5% + $0.30 per transaction (non-refundable)
  • Administrative Fee: $1.00 (applied to all refunds)

Refunds are rounded down to two decimal places.

Important Notes:

Partially used credits are not refundable as they represent fulfilled services (by AI or a Creovater).

No refunds are granted for:

  • AI sessions already initiated or completed.
  • Creovater earnings or disbursed payouts.
  • Subscription charges after the billing period has commenced.
  • Dissatisfaction with WaaS AI Tool answers, tone, or interpretation (Waas AI Tool outputs vary based on prompts, context, and each tool’s intended purpose. Dexers are responsible for reviewing the “How It Works” section and FAQ before use.).
  • Chargebacks not processed through official Creodex channels.

8. Chargebacks & Fraud Protection

Creodex actively monitors for chargeback fraud and payment abuse. We reserve the right to:

  • Restrict or suspend accounts with frequent or abusive “unauthorized payment” claims
  • Investigate users leveraging multiple cards that result in chargebacks
  • Reverse access to AI Tools in cases of unpaid usage

If fraud is confirmed, we may:

  • Permanently ban the user account
  • Recover misused funds
  • Report incidents to relevant financial institutions

9. User Conduct

All users must adhere to our Community Guidelines Policy, which prohibit:

  • Harassment, hate speech, discrimination, or abusive conduct
  • Deceptive practices, including misrepresentation through AI
  • Uploading or distributing unauthorized or illegal content

Creodex may suspend accounts or take legal action against violators.

10. Privacy & Data Use

Creodex complies with applicable privacy laws, including GDPR, CCPA, and PIPEDA.

Sensitive Data Notice:

Do not submit personally identifiable, confidential, or protected information into AI prompts or AI interactions. Creodex AI systems are not designed to process sensitive personal data, and we cannot guarantee compliance with privacy obligations for such inputs.

11. DMCA & IP Takedown Process

We comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted content has been misused, file a claim through our Contact Form.

Users may submit a counter-notification if they believe removal was in error.

12. Dispute Resolution

All legal disputes must be resolved via binding arbitration in Alberta, Canada.
By agreeing to these Terms, you waive your right to participate in class-action lawsuits.

Local regulations such as GDPR may apply where relevant.

13. Cancellations

There are two types of cancellations on Creodex:

13.1 Subscription or Package Changes

  • You may cancel your subscription or downgrade your Creovater Package at any time via your Creodex dashboard.
  • Cancellation stops future billing only.
  • No refunds are provided for the current billing cycle.
  • You retain access to your account and AI Tools until the end of the billing period.

13.2 Full Platform Account Removal

  • You must submit the request through Creodex.
  • Do not cancel directly through Stripe—Stripe may not notify us, and your account could remain active.
  • Upon request, Creodex will notify Stripe and provide you with the necessary documents for your records.

14. Indemnification

You agree to indemnify and hold harmless Creodex from any claims, damages, or liabilities arising from:

  • Violation of third-party intellectual property rights
  • Privacy breaches or unauthorized data usage
  • Harmful consequences of AI-generated content
  • How third-party AI providers process or handle your content

If your actions result in legal proceedings against Creodex, you will be responsible for all associated costs.

15. Platform Updates, Notifications & Amendments

Creodex may modify these Terms and any linked policies at its sole discretion. Material updates will be communicated via email or platform notifications, with key changes summarized in plain language whenever feasible.

Continued use of the platform after updates constitutes your acceptance of any revised terms.

15.1 Mandatory Platform Updates Subscription

All users are automatically subscribed to receive “Platform Updates,” which include:

  • Key feature rollouts
  • Product improvements
  • Security-related notices
  • Policy or service changes essential to account operations

These communications are considered necessary for legal compliance, account maintenance, and safe platform usage.

This subscription is mandatory while your Creodex account is active. To stop receiving these updates, you must permanently close your account via the platform dashboard.

16. Security, Misuse, and Unauthorized Access

Users agree not to access, attempt to access, interfere with, or disrupt any part of the Creodex platform, its systems, or any connected user accounts without proper authorization.

Prohibited activities include:

  • Attempting to hack, exploit, or bypass security mechanisms
  • Accessing private AI Tools, accounts, or data not belonging to you
  • Using bots, scrapers, or automation tools without permission
  • Uploading or transmitting malicious code (e.g., viruses, keyloggers, trojans)
  • Attempting to harvest, extract, or misuse any personal or proprietary information

Any such behavior will result in immediate termination of your account and may lead to civil or criminal prosecution under applicable laws.

Creodex reserves the right to report illegal activities to authorities and cooperate with investigations.

17. Data Security, Business Continuity & Breach Notification

Creodex takes data security seriously and implements commercially reasonable measures to protect user data against unauthorized access, loss, or misuse. However, no system is 100% secure.

In the event of a security breach:

  • We will investigate the incident promptly
  • Affected users will be notified as required by applicable law
  • We will take all reasonable steps to mitigate the impact and prevent recurrence

Business Continuity:

In the event of platform closure or dissolution, Creodex will make reasonable efforts to notify users in advance and provide an opportunity to export their content and data, subject to legal and technical limitations.

18. Beta Program Acknowledgment

Creodex is currently in Beta Launch. By using the platform during this phase, you acknowledge and agree to the following:

18.1 Beta Status & Platform Development

Creodex is in active development and features, services, or policies may change without notice as we improve the platform.

You may encounter bugs, technical issues, incomplete features, or occasional service interruptions.

Data & History During Beta: Because Creodex is in Beta, some platform data—including chat history, credits, and interactions—may be reset or altered as we refine and stabilize the system. While we do our best to protect user data, we cannot guarantee full data persistence or history retention during this early stage. We’ll always communicate major changes when possible, and we appreciate your patience as we build a better, more resilient platform together.

Creodex provides Beta services “as is” with no warranties of any kind, beyond what is required by law.

18.2 Business Use & Reliance Warning

Creodex’s Beta features are experimental and may not operate consistently.

Users should not rely solely on Creodex for critical business decisions, legal advice, financial transactions, or time-sensitive matters during Beta.

Creodex is not liable for any business losses, financial damages, reputational harm, or opportunity costs resulting from Beta use.

18.3 Feedback & Collaboration

Your participation in the Beta program is important to us.

You can submit feedback directly within your Creovater or Dexer account via the Help section.

We appreciate your support in helping Creodex grow into a stable, community-driven platform.

18.4 Beta Access Control

Creodex reserves the right to:

  • Grant, limit, suspend, or revoke Beta access at its discretion
  • Adjust feature sets, pricing models, or platform mechanics during Beta
  • Refuse service or terminate accounts in line with Beta program needs and policy enforcement

18.5 Ongoing Improvements

We are committed to:

  • Continuously improving the platform based on real user feedback
  • Prioritizing security, ethical AI use, and platform stability
  • Communicating material changes transparently as we evolve toward a full launch

18.6 Tax Collection During Beta Launch

Creodex is currently operating under Beta Launch conditions and has not yet reached the revenue thresholds required to collect or remit taxes in most jurisdictions (including Canada, the U.S., the UK, the EU, or others).

As such, during Beta Launch:

  • Dexers will not be charged sales tax, VAT, or similar fees at checkout (until thresholds have been met).
  • Creovaters are not charged tax on subscription plans at this stage, and are solely responsible for reporting and remitting any income or earnings-related taxes in their own jurisdiction.
  • All prices are displayed exclusive of tax, where applicable.

Anticipated Tax Collection Post-Beta:

Once Creodex crosses the required jurisdictional revenue thresholds and completes tax registration:

  • Tax will be automatically applied at checkout for Dexers based on their billing location, using Stripe Tax.
  • Creovaters may see applicable tax charges on subscription plans depending on their location and local tax laws, also managed through Stripe.
  • These changes will occur automatically through Stripe, and users will see updated pricing or tax line items during checkout and on invoices.

By participating in the Beta phase, you acknowledge and accept that prices, fees, or payouts may increase in the future to reflect legal tax compliance once thresholds are met.
